1. Introduction

Welcome to Swagrush. These Terms of Service ("Terms") govern your use of the Swagrush platform, website, and services operated by Swagrush (Pty) Ltd ("Company", "we", "us", or "our").

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

2. Nature of Service

Swagrush is a promotional competition platform that offers digital assets (including but not limited to web templates, design resources, and business guides) at fair market value. As a promotional incentive, purchases include entries into prize draws.

Important: Swagrush is not a lottery, gambling service, or game of chance as defined under the National Gambling Act. Our platform operates as a promotional competition in compliance with Consumer Protection Act Section 32.

CPA Section 36 Compliance Statement

This is a promotional competition conducted under Section 36 of the Consumer Protection Act 68 of 2008. Participation is a reward for purchasing Digital Content from Swagrush Pty Ltd.

Independent Oversight: All draws use Cryptographic Random Number Generation (CRNG) and are overseen by an independent Chartered Accountant to ensure fairness and transparency. Draw results are sealed using SHA-256 cryptographic hashing and require two-key verification for execution.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Be a resident of the Republic of South Africa
  • Have the legal capacity to enter into binding agreements
  • Not be an employee, director, or immediate family member of Swagrush (Pty) Ltd or its affiliates
  • Provide accurate and complete registration information

4. Digital Assets and Purchases

All digital assets offered on our platform are priced at fair market value in accordance with CPA Section 32 requirements. Upon purchase:

  • You receive immediate access to the purchased digital asset
  • You receive a promotional entry into the associated prize draw
  • Your access to purchased assets is permanent and non-transferable
  • All sales are final; no refunds are available for digital content

Intellectual Property: All digital content is the Intellectual Property of Swagrush Pty Ltd. Purchase grants a non-exclusive, non-transferable license for personal use only. The purchase price reflects IP value and professional design work, not competition entry. Commercial use, redistribution, or resale is strictly prohibited.

5. Free Entry Method

In compliance with CPA Section 32, a free postal entry method is available for all promotional competitions. Details of the postal entry process are available on our website. Free entries carry equal validity to purchased entries.

6. Prize Draws

Our prize draws operate under strict integrity protocols:

  • All entries are sealed using SHA-256 cryptographic hashing prior to draws
  • Draws are independently verified using a two-key verification system
  • Winners are selected through our audited random selection process
  • Winners will be notified via email and required to complete KYC verification
  • Prizes must be claimed within 7 days of notification
  • Cash alternatives may be offered at our discretion

7. RushCredits and SwagPoints

RushCredits (RC) and SwagPoints (SP) are the platform currency for SwagVault access and premium features:

  • RC and SP have no cash value and cannot be redeemed for cash
  • RC and SP are non-transferable between accounts
  • We reserve the right to modify the rewards program with notice
  • RC and SP may expire as per programme terms

Emerald Window Disclosure: During Emerald Window events, SwagVault participation requires conversion at 10 RushCredits = 1 SwagPoint (Entry). This premium rate applies only during Emerald events. Standard vault access remains at 1:1 ratio.

8. Membership Tiers

Regular: Free membership with access to standard promotions.

Platinum: Paid subscription providing access to exclusive promotions with lower participant caps. Subscription terms and cancellation policies apply.

Emerald: Invitation-only access to time-limited exclusive events. Eligibility determined by platform criteria.

9. Prohibited Conduct

Users may not:

  • Create multiple accounts or use false information
  • Attempt to manipulate or interfere with draws
  • Use automated systems to interact with the platform
  • Share account credentials or transfer accounts
  • Engage in fraudulent or deceptive practices
  • Violate any applicable laws or regulations

10. Tax Absorption Policy

In accordance with South African tax regulations, certain taxes may apply to promotional competition transactions. Swagrush operates under the following tax absorption policy:

  • Gross Takings Tax : Where indicated, Swagrush absorbs the Gross Takings Tax on your behalf. This means the price displayed is the final price you pay.
  • Platform Absorbed Mode: When tax absorption is enabled for a competition, no additional tax is added to your the prize. Swagrush covers this tax.
  • Tax-Added Mode: If a competition does not include tax absorption, any applicable taxes will be clearly displayed as a separate line for competitions.
  • Prize Winnings: Winners may be subject to withholding tax on prizes as required by SARS regulations. Winners will be notified of any tax obligations upon prize claim.

Tax Indicator: Each competition listing clearly displays whether tax is absorbed by the platform. Look for the "Tax Absorbed" indicator on competition pages. When present, what you see is what you get.

11. Limitation of Liability

To the maximum extent permitted by law, Swagrush shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of our services after changes constitutes acceptance of modified Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
